WhatsApp Agreements: When Informal Conversations Create Binding Obligations

The way in which agreements are concluded has evolved significantly. Increasingly, negotiations that would traditionally take place through formal correspondence or drafted contracts are now conducted on WhatsApp and other messaging platforms. While convenient, this shift carries legal risk — particularly where parties unintentionally create binding obligations.

Under South African law, a contract does not need to be formally signed to be enforceable, unless specific legislation requires otherwise. A legally binding agreement can arise where there is a clear offer, acceptance, and intention to create legal relations, with sufficiently certain terms. These elements can, and often do, emerge from digital communications.

In practice, courts will assess the full context of an exchange to determine whether an agreement was concluded. This includes WhatsApp messages, emails, and other electronic records. What may appear to be a preliminary discussion can, in certain circumstances, be interpreted as a final and enforceable agreement.

For businesses and individuals alike, the risks are material:

  • Commitments may be created without the benefit of properly drafted terms

  • Key provisions — such as payment terms, timelines, or dispute mechanisms — may be absent

  • Informal language may give rise to ambiguity, increasing the likelihood of disputes

  • Parties may find themselves bound to obligations they did not intend to formalise

In a litigation context, these exchanges are frequently relied upon as evidence. Once a dispute arises, it is often too late to revisit the intention behind the communication. Accordingly, it is critical that parties approach digital negotiations with the same level of care as formal contracting processes. Where commercial interests are at stake, reliance on informal messaging platforms without legal oversight can expose parties to avoidable risk.
